1.3. By installing, copying, activating or using the Software in whole or in part, and also by clicking the button (checkbox) accepting the terms of the Agreement, the User confirms that he/she has carefully read this Agreement and the Privacy Policy of Barys Technology KZ LLP, understands their contents and accepts their terms in full without any reservations.
1.5. The Software is licensed, not sold. The User receives the right to use the Software to the extent expressly stated in this Agreement, in the terms of the acquired licence/Subscription, in a commercial offer, invoice/acceptance certificate and/or another document of the Rights Holder or its partner. All other rights are deemed not granted.
1.6. This Agreement is a public offer and applies to all copies of the Software, irrespective of the way they were obtained (through a partner, directly from the Rights Holder, by internet download, etc.), unless expressly stipulated otherwise in a separate written contract.
2.Intellectual property rights
Exclusive rights
2.1. The exclusive rights to the Software belong to its author — Sergey Rys (the "Author") and/or to the Rights Holder on the basis of a contract and other lawful grounds. The Rights Holder exercises all powers to dispose of the exclusive rights to the Software.

5.3. If the User breaches the terms, the Rights Holder may:
- Block or restrict the operation of licence keys/licence files
- Suspend or restrict access to the Software, the Portal or individual functions
- Terminate the licence (Subscription) unilaterally
5.4. Upon termination of the licence, the User must immediately: cease using the Software and the Portal; delete all copies of the Software and licence files from the devices belonging to the User.
5.5. Important: where the licence is terminated due to a breach of the terms, the amounts paid are NOT refundable, unless otherwise provided by law.
6.Updates and changes to the Software

- Integrations — Scales models, exchange formats
6.2. Updates may be installed by the User independently or automatically (if provided by the Software settings).

6.4. Certain new functions, modules and integrations may be provided only subject to additional payment and/or a separate agreement (Additional functionality).
6.5. The User acknowledges: the use of outdated versions and refusal of updates may reduce stability and security. The Rights Holder may discontinue support of individual versions with prior notice.
7.Collection and processing of technical and operational data
Purposes of data collection
7.1. For licence activation, protection against unauthorised use, improvement of the quality of the Software and provision of access to analytics through the Portal https://scalesloading.com, the program collects:
- Registration data — name, company, contacts provided at registration

- Logs — errors, operation logs, statistics
- Operational data — uploads, results, incidents
7.2. As a rule, the data is not anonymised and may be linked to a specific organisation, retail outlet and devices — this is necessary to display correct statistics and analytics on the Portal and to provide technical support.
7.4. The Rights Holder undertakes not to transfer personal data to third parties, except for:
- Authorised partners and service providers (hosting, mailings, technical contractors)
- Cases provided by law (requests of state authorities)
7.5. Anonymised and aggregated data may be used for statistics, analytics and improvement of the Software without restriction.
7.6. The User is responsible for obtaining the necessary consents and notifying its employees whose actions may be recorded in the Software and on the Portal.
8.Warranties and disclaimer
The Software is provided "AS IS"
8.1. To the maximum extent permitted by applicable law, the Rights Holder and the Author:

- Lost profit, loss of revenue or income
- Loss of data, corruption of data

10.2. All disputes, disagreements and claims arising in connection with this Agreement, its performance, breach, termination or invalidity are subject to consideration by the courts at the location of the Rights Holder (Astana, Republic of Kazakhstan), unless otherwise provided by mandatory provisions of law.
11.Miscellaneous
11.1. If any provision of this Agreement is held invalid or unenforceable, this does not affect the validity of the remaining provisions, which continue in full force.
11.2. The inability or failure of a party to require performance of any provision of this Agreement does not constitute a waiver of such right and does not prevent its subsequent exercise.
11.3. This Agreement constitutes the entire and exclusive contract between the User and the Rights Holder in respect of the use of the Software and supersedes any previous agreements, arrangements and representations on this matter.
11.4. Any amendments and additions to this Agreement are valid only if they are:
- Made in writing and signed by an authorised representative of the Rights Holder, or
- Published by the Rights Holder as a new version of the EULA within the Software and/or on the website https://scalesloading.com
